This is the English translation of our terms of service, provided for convenience. The original is in Italian (Termini di servizio): in case of any difference, the Italian version prevails.
These terms govern the use of BigBrotherStudio (the “service”), the online management software for tax and accounting firms available at bigbrotherstudio.com. By registering a firm or joining a firm by invitation, you accept these terms and confirm you have read the Privacy Policy.
1. Who provides the service
The service is provided by Nexus Business Partner S.r.l., with registered office at Via dei Mille 191, 97019 Vittoria (RG), Italy, tax code and VAT number 01897490882, registered with the Registro delle Imprese del Sud Est Sicilia (REA RG-488772), share capital 10.000,00 € i.v. (fully paid up), certified email (PEC) nexusbusinesspartnersrl@pec.it (“we”). For support: assistance.bigbrotherstudio@gmail.com.
2. The service
BigBrotherStudio helps a firm organise the work on its clients: client records, assignment of clients to the people in the firm, how far VAT and bookkeeping are up to date, communications with clients, import from Excel, read-only email reading and, when available, tasks and documents. Some features are optional and can be switched on or off for the firm.
The service is reserved for professional firms and businesses, which use it for their own activity: it is not intended for consumers.
3. Firm, accounts and people
- Whoever registers the firm becomes its admin and declares that they can act on behalf of the firm. The admin invites the other people, decides their roles and what they can see, and is responsible for their use of the service within the firm.
- Each person uses their own account, with their own password or their own Google account, and does not lend it to others. Credentials must be kept confidential; if you think someone knows them, change your password and let us know.
- Account details must be true and up to date. An email address belongs to one account only and a person belongs to one firm only.
4. The data of the firm and of its clients
- The data the firm enters about its clients remains the firm's. The firm is the controller of its processing: it must have a legal basis for entering it and must inform its own clients, as required by the GDPR.
- We process this data only to provide the service, as data processors (Article 28 GDPR), under the data processing agreement that is part of the contract with the firm and that also lists the suppliers we rely on (see the Privacy Policy).
- We do not look at the data of the firms' clients, unless the firm asks us to for support or the law requires it.
5. Permitted use
It is not permitted to:
- use the service for unlawful activities or enter data without having the right to do so;
- attempt to access the data of other firms or other people, get around the protections, overload the service or use it in an automated way without our agreement;
- copy, decompile or resell the service or parts of it.
In these cases we may suspend the access of the person or firm involved, giving notice as soon as possible.
6. Features with artificial intelligence
Some features use artificial intelligence to suggest how to import data from a file or to summarise emails. The AI's suggestions may contain errors or omissions: they are there to help the work, they do not replace the firm's own checks and they are not advice. The firm checks important information before using it. The data sent to the AI and how it is processed are described in the Privacy Policy.
7. Email reading
Email reading is optional: it is switched on for the firm at its request and each person decides whether to connect their own mailbox, with Google's read-only permission, which can be revoked at any time. The summaries of clients' emails go into their client page automatically and, like any AI suggestion, may contain errors. The firm is responsible for using it in compliance with employment and privacy rules towards its own staff (in particular Article 4 of the Italian Workers' Statute and the guidance of the Italian Data Protection Authority on employees' email), informing them before switching it on.
8. Availability, support and backups
- We do our best to keep the service always available, but there may be interruptions for maintenance, updates or problems with suppliers, which we try to keep to a minimum.
- The database is backed up every day and the backups are kept for 7 days. We still recommend that the firm keeps its own copy of its most important data and documents.
- Support is requested by writing to assistance.bigbrotherstudio@gmail.com; for formal communications there is the PEC address given in chapter 1.
9. Fees
The financial terms (price, duration, payment method) are those agreed with the firm. If the price of a paid feature changes, we inform the firm's admin at least 30 days in advance.
10. Pausing the service and deleting the firm
- Pausing the service. We may pause a firm, for example for non-payment, breach of these terms or security reasons. During the pause nobody in the firm can sign in, but all the data stays as it was and the automatic deadlines (bin, deletion) stop; when the pause ends, everything resumes from where it was.
- Deletion at the firm's request. The admin can ask for the firm to be deleted: for 30 days it stays “being deleted” and the deletion can be cancelled; after that, the firm's data and the accounts of its people are erased for good and cannot be recovered.
- End of the relationship. If the contract with the firm ends, before erasing the data we give the firm a reasonable time, normally 30 days, to save it.
11. Liability
- We are liable for the service under Italian law. Except in cases of wilful misconduct or gross negligence, we are not liable for indirect damages (for example loss of profit), nor for damages caused by data entered by the firm, by the use of AI suggestions without checking them or by interruptions due to causes beyond our control.
- To the extent permitted by law and except in cases of wilful misconduct or gross negligence, our total liability towards a firm does not exceed what the firm paid us in the 12 months before the event.
- The firm is responsible for the data it enters and for the use of the service by the people it invites.
12. Intellectual property
The service, its name, its code and the look of its pages belong to Nexus Business Partner S.r.l.. The firm receives the right to use them for the duration of the contract; the firm's data remains the firm's.
13. Changes to the service and to these terms
The service is improved over time: new features that change the way of working arrive as additional options, without taking away from the firm what it already uses. If we change these terms in an important way, we notify the firm's admin by email at least 30 days in advance; by continuing to use the service after that date, the firm accepts the new terms, otherwise it can ask for the firm to be deleted.
14. Governing law, jurisdiction and contacts
These terms are governed by Italian law. The Court of Ragusa has exclusive jurisdiction over any dispute. For support: assistance.bigbrotherstudio@gmail.com. For formal communications: PEC nexusbusinesspartnersrl@pec.it or post to the registered office.
